DIGITAL PRODUCTS TERMS & CONDITIONS

LUNADESIGNS.STUDIO PTY LTD
ACN 676 483 221

Last Updated: 2 October 2026

These Digital Products Terms & Conditions (“Terms”) apply to digital products, resources and digital education products sold or supplied by LUNADESIGNS.STUDIO PTY LTD ACN 676 483 221 (“Luna Designs Studio”, “we”, “us” or “our”).

These Terms apply across digital products offered under Luna Designs Studio and any brands operated by LUNADESIGNS.STUDIO PTY LTD, including Wedding Vendor Academy, Weddings with Shelby and any other brands, products or programs operated by us from time to time.

By purchasing, accessing or using a Digital Product, you agree to these Terms.

1. DIGITAL PRODUCTS COVERED BY THESE TERMS

These Terms are intended to apply generally to digital products we sell or provide from time to time.

A “Digital Product” may include:

online workshops;

live workshops;

masterclasses;

webinars;

self-paced courses;

mini-courses;

training videos;

recorded trainings;

downloadable guides;

ebooks;

workbooks;

templates;

calculators;

spreadsheets;

checklists;

scripts;

email templates;

sales scripts;

prompts;

AI prompts;

frameworks;

worksheets;

PDFs;

digital resources;

replay libraries;

digital toolkits;

audio resources;

resource packs;

digital bonuses;

online educational resources; and

other digital products or materials offered by us.

These Terms apply unless different or additional terms are expressly stated for a particular Digital Product.

2. PRODUCT-SPECIFIC INFORMATION

The individual sales page, checkout page, product description or written offer for a Digital Product will specify the key features of that particular purchase.

This may include:

what the Digital Product contains;

the purchase price;

whether GST is included;

how access is provided;

the duration of access, where applicable;

any included bonuses;

any scheduled live component;

replay access;

eligibility requirements;

prerequisites;

technical requirements;

any usage limitations; and

other product-specific conditions.

The purchaser is responsible for reviewing the applicable product description before purchasing.

If there is an inconsistency between these Terms and an expressly stated product-specific term presented at the time of purchase, the expressly stated product-specific term will prevail to the extent of the inconsistency.

3. SUITABILITY BEFORE PURCHASE

The purchaser is responsible for reviewing the Digital Product description, inclusions, intended audience, technical requirements, access arrangements and any stated prerequisites before purchasing.

If the purchaser is unsure whether a Digital Product is suitable for their circumstances, they should contact us before purchasing.

The purchaser acknowledges that different Digital Products may be designed for different:

business stages;

industries;

experience levels;

software platforms;

marketing platforms;

objectives; or

implementation requirements.

A purchaser's failure to review clearly disclosed product information does not itself create a right to a change-of-mind refund.

Nothing in this clause limits any right arising from inaccurate, misleading or materially incomplete information provided by us or any right available under applicable law.

4. PRICING

The price payable for a Digital Product is the price displayed or otherwise agreed at the time of purchase.

Unless expressly stated otherwise, prices displayed to Australian purchasers are inclusive of GST where GST is applicable.

We may change the price of Digital Products at any time.

A future pricing change does not alter the price of a Digital Product already purchased.

Promotional pricing, launch pricing, discount codes, bundles or limited-time offers may be offered from time to time.

A purchaser is not entitled to a retrospective refund or credit merely because a Digital Product is later offered at a different price.

5. PAYMENT

Payment must be made using an accepted payment method available at checkout.

We may use third-party payment processors, including Stripe, to process transactions.

The purchaser authorises the applicable payment processor to charge the payment method selected at checkout for the amount displayed and agreed at the time of purchase.

Access to a paid Digital Product may be withheld until payment has been successfully processed.

6. PAYMENT PLANS

Some Digital Products may be offered using a payment plan.

Where a payment plan is expressly offered, the checkout or sales page will specify:

the number of instalments;

the amount of each instalment;

the total amount payable; and

the applicable payment schedule.

Unless expressly stated otherwise, a payment plan is a method of paying the total purchase price and is not a cancel-anytime subscription.

Where the purchaser selects a payment plan, the purchaser authorises us and our payment processor to automatically charge the nominated payment method for the scheduled installments.

Removing, replacing, freezing or allowing a nominated payment method to expire does not itself cancel amounts properly payable under an agreed payment plan.

Failure to access, use or complete the Digital Product does not itself cancel remaining instalments under an agreed payment plan.

Nothing in this clause limits any right available under applicable law.

7. BUNDLES, ORDER BUMPS, UPSELLS AND ADD-ONS

A checkout may allow a purchaser to purchase multiple Digital Products together, including through:

bundles;

order bumps;

upsells;

add-ons; or

other optional offers.

Each Digital Product selected by the purchaser forms part of their purchase and is subject to these Terms unless different terms are expressly stated.

The checkout will display the applicable price before the purchaser completes the relevant transaction.

Selecting an optional order bump, add-on, upsell or bundle constitutes an agreement to purchase that additional Digital Product at the displayed price.

Where an upsell is offered after the initial transaction and requires a separate purchase confirmation, that purchase constitutes a separate transaction subject to these Terms unless otherwise stated.

8. PROMOTIONS AND DISCOUNT CODES

We may offer promotional pricing, discount codes or special offers from time to time.

Discount codes and promotional offers may be subject to:

eligibility requirements;

expiry dates;

usage limits;

minimum purchase requirements;

particular products;

promotional periods; and

other conditions disclosed with the offer.

Unless expressly stated otherwise, discount codes:

cannot be combined;

cannot be exchanged for cash;

cannot be transferred;

cannot be retrospectively applied to a completed purchase; and

must be used within the applicable promotional period.

The expiry or non-use of a promotional code does not entitle the purchaser to a refund or credit.

9. DELIVERY AND ACCESS

Digital Products may be delivered through:

GoHighLevel;

an online learning portal;

email;

downloadable files;

links;

cloud storage;

video hosting;

live video conferencing;

another digital platform; or

another method specified at the time of purchase.

The purchaser is responsible for providing an accurate email address and maintaining access to the email account used to purchase the Digital Product.

The purchaser is also responsible for checking spam, junk and promotional folders where access information has been sent electronically.

If access information has not been received within a reasonable period after purchase, the purchaser should contact us so that we can investigate.

10. ACCESS PERIOD

The access period for a Digital Product will be the period stated on the applicable sales page, checkout page or product description.

Access may be:

downloadable;

provided for a stated period;

provided while a particular platform or product remains available;

ongoing;

described as lifetime access; or

subject to another access arrangement expressly stated at purchase.

Where no specific access period is promised, access will be provided for a reasonable period having regard to the nature of the Digital Product.

Where “lifetime access” is expressly offered, the meaning and conditions of that access should be read together with the applicable product description and any representations made at the time of purchase.

Nothing in this clause permits us to disregard an express access commitment made to a purchaser or limits rights available under applicable law.

11. DOWNLOAD RESPONSIBILITY

Where a Digital Product is supplied as a downloadable file, the purchaser is responsible for downloading and securely storing the file within any stated download or access period.

We are not required to maintain indefinite replacement copies of downloadable products unless expressly promised or required by law.

12. LIVE DIGITAL EVENTS AND REPLAYS

Where a Digital Product includes a scheduled live workshop, masterclass, webinar, training or other live digital event, the purchaser is responsible for attending at the advertised date and time.

Failure to attend a live session does not itself entitle the purchaser to:

a refund;

credit;

private replacement session;

one-to-one session; or

alternative live delivery.

Where a replay is expressly included, the replay will be provided in accordance with the access arrangements stated for that Digital Product.

Where a replay is not expressly included, the purchaser should not assume that a recording will be made available.

We may reasonably reschedule a live session because of:

illness;

emergency;

bereavement;

technology failure;

platform outage;

travel disruption;

force majeure; or

another significant unforeseen circumstance.

Where this occurs, we will provide reasonable notice where practicable and arrange a replacement date, replay or other reasonably appropriate alternative having regard to the circumstances.

Nothing in this clause limits rights available under applicable law.

13. PRE-ORDERS AND FUTURE RELEASES

We may sell Digital Products before they have been fully released or made available.

Where a Digital Product is sold as a pre-order or future release, the applicable sales page or checkout will provide an estimated release date, commencement date or delivery timeframe where relevant.

Release or delivery dates may reasonably change because of circumstances including:

production requirements;

technology issues;

illness;

emergencies;

third-party platform issues; or

other circumstances reasonably affecting delivery.

Where a material delay occurs, we will communicate an updated timeframe where reasonably practicable and provide any remedy required by applicable law.

We will not accept payment for a Digital Product where we know, or should know, that we will not be able to supply it within the stated or otherwise reasonable timeframe.

14. CHANGE-OF-MIND REFUNDS

Because Digital Products can often be accessed, viewed, downloaded or copied immediately after purchase, we do not provide refunds merely because a purchaser changes their mind.

Without limiting any statutory rights, a change-of-mind refund will not ordinarily be provided merely because the purchaser:

no longer wants the Digital Product;

does not use it;

does not complete it;

changes their mind;

becomes busy;

does not have time to implement it;

decides it is no longer relevant to their business;

purchases a similar product elsewhere;

expected different personal or business results;

fails to attend a live session;

fails to watch an available replay;

fails to download available materials;

does not implement the information provided; or

later discovers the Digital Product offered at a different price.

16. PRODUCT DESCRIPTIONS

We take reasonable care to describe Digital Products accurately.

The purchaser acknowledges that:

screenshots and examples may be illustrative;

platform layouts may change;

modules or resources may be reorganised;

technology demonstrated in training may change;

third-party platforms may update their interfaces or functionality; and

minor changes may be made to improve a Digital Product.

We may reasonably update, improve or reorganise Digital Products provided that doing so does not materially remove the substantive product purchased.

17. DIGITAL PRODUCTS ARE EDUCATIONAL

Our Digital Products are provided for general educational and informational purposes.

Unless expressly stated otherwise, they do not constitute personalised:

legal advice;

accounting advice;

taxation advice;

financial product advice;

investment advice;

employment advice;

insurance advice; or

other regulated professional advice.

Purchasers should obtain independent professional advice where appropriate for their individual circumstances.

18. BUSINESS DECISIONS

Where a Digital Product relates to business, marketing, pricing, sales, client experience, social media, advertising, strategy, automation, artificial intelligence or another commercial topic, the purchaser remains responsible for all decisions made within their own business.

This includes decisions concerning:

pricing;

offers;

advertising;

marketing claims;

contracts;

sales;

clients;

employees;

contractors;

taxation;

accounting;

insurance;

legal compliance;

technology;

expenses; and

implementation.

The Digital Product provides education and information. We do not operate the purchaser's business for them.

19. NO GUARANTEE OF RESULTS

We do not guarantee that purchasing or using a Digital Product will produce a particular result.

We do not guarantee:

revenue;

profit;

enquiries;

bookings;

sales;

leads;

conversions;

social media growth;

audience growth;

price increases;

advertising performance;

business growth;

return on investment; or

any other specific business or financial result.

Results depend on numerous factors outside our control, including the purchaser's implementation, experience, skills, market, audience, pricing, offer, consistency, decision-making and individual circumstances.

20. TESTIMONIALS AND EXAMPLES

Testimonials, examples, case studies and results shared in connection with a Digital Product illustrate individual experiences.

They do not guarantee that another purchaser will achieve the same or similar result.

We will not knowingly misrepresent results used in our marketing.

21. INTELLECTUAL PROPERTY

Unless expressly stated otherwise, all intellectual property in our Digital Products remains owned by LUNADESIGNS.STUDIO PTY LTD or the applicable third-party rights holder.

This includes, without limitation:

videos;

recordings;

workshops;

masterclasses;

modules;

frameworks;

methodologies;

processes;

guides;

ebooks;

workbooks;

templates;

calculators;

spreadsheets;

checklists;

scripts;

sales scripts;

email templates;

prompts;

AI prompts;

worksheets;

graphics;

presentations;

slides;

written materials;

audio;

downloads;

training;

examples;

proprietary concepts; and

other resources.

Purchasing a Digital Product does not transfer ownership of our intellectual property.

22. LICENCE TO USE DIGITAL PRODUCTS

Unless expressly stated otherwise, purchasing a Digital Product grants the purchaser a limited, non-exclusive, non-transferable licence to use that Digital Product for their own personal or internal business purposes.

Where appropriate to the nature of the Digital Product, the purchaser may implement what they learn within their own business.

For example, where a Digital Product contains a sales script, pricing framework, marketing process, AI prompt, email template or client journey strategy, the purchaser may use and adapt that resource for the operation of their own business.

The purchaser does not acquire the right to reproduce or commercially exploit the Digital Product itself.

23. PROHIBITED USE

Unless we expressly give written permission, a purchaser must not:

share a purchased Digital Product with another person or business;

provide another person with login credentials;

reproduce the Digital Product for distribution;

sell or resell the Digital Product;

sublicense the Digital Product;

upload the Digital Product publicly;

distribute copies;

teach our proprietary training or frameworks as their own;

include our Digital Product in another course, membership, mastermind or coaching program;

substantially copy or reproduce our training;

distribute recordings;

commercially exploit our intellectual property;

claim our proprietary materials as their own original work;

use our Digital Product to create a substantially copied competing educational product; or

otherwise use our intellectual property outside the licence provided by these Terms.

24. ONE PURCHASE — ONE USER

Unless expressly stated otherwise, one purchase provides access for one authorised user.

The purchaser must not share access with:

employees;

contractors;

virtual assistants;

business partners;

friends;

family members;

clients; or

another business.

If a purchaser wishes to obtain team or multi-user access, they must contact us for approval.

We may offer team licences or additional access on separate terms or for an additional fee.

25. AI AND OUR INTELLECTUAL PROPERTY

Purchasers may use AI tools to assist with implementing concepts or resources where that use is consistent with the licence granted under these Terms.

However, unless expressly permitted, purchasers must not upload substantial proprietary Digital Product materials into an AI system for the purpose of:

reproducing our training;

reconstructing our proprietary methodology;

generating substantially equivalent training for distribution;

training a dataset or system on our proprietary content;

creating a competing educational product;

extracting our entire Digital Product; or

distributing our intellectual property.

Where a Digital Product is itself an AI prompt or resource expressly designed to be entered into an AI platform, the purchaser may use that resource for its intended purpose.

26. NO UNAUTHORISED COPYING, RECORDING OR SCRAPING

Unless expressly permitted, purchasers must not:

screen-record protected training;

independently record paid workshops or masterclasses;

bulk-download protected portal content;

scrape our websites or learning portals;

use automated systems to extract our materials;

copy substantial portions of protected training; or

create an unauthorised archive or database of our materials.

Materials we expressly make downloadable may be downloaded and used in accordance with the licence granted under these Terms.

27. THIRD-PARTY TOOLS AND PLATFORMS

Some Digital Products may teach, demonstrate, recommend or interact with third-party products or platforms.

Examples may include:

artificial intelligence platforms;

social media platforms;

advertising platforms;

CRM systems;

email marketing software;

website platforms;

payment processors; and

other business technology.

We do not control those third parties.

Their features, pricing, terms, policies, availability, functionality, interfaces and business practices may change without our control.

A change made by a third-party platform does not automatically mean that the Digital Product itself is defective.

Where reasonably practicable, we may update material where significant third-party changes materially affect the usefulness of current training, but we do not guarantee indefinite updates unless expressly included with the Digital Product.

28. THIRD-PARTY RECOMMENDATIONS AND AFFILIATE LINKS

Digital Products may refer to, demonstrate or recommend third-party:

products;

software;

platforms;

services;

professionals;

suppliers; or

providers.

Any purchase or engagement with a third party is a separate transaction between the purchaser and that third party and may be subject to separate terms, conditions and privacy policies.

We do not control the ongoing performance, pricing, availability or practices of independent third parties.

Where we receive a commission, referral fee or other financial benefit from a recommendation or affiliate link, we may disclose that relationship where required or appropriate.

A recommendation or reference does not guarantee that a third-party product or service will be suitable for every purchaser.

Purchasers remain responsible for assessing whether a third-party product or service is suitable for their circumstances.

29. AI OUTPUTS AND THIRD-PARTY OUTPUTS

Where a Digital Product contains prompts, AI workflows, templates or instructions intended for use with third-party technology, the purchaser remains responsible for reviewing any output before using it.

AI-generated and automated outputs may contain errors, inaccuracies or inappropriate information.

The purchaser must exercise their own judgment and verify information where appropriate.

We do not control outputs generated by independent third-party AI or software platforms.

30. BONUSES

A Digital Product may occasionally include bonuses.

Unless expressly stated otherwise:

bonuses form part of the offer available at the time of purchase;

future purchasers may receive different bonuses;

bonuses may be changed between separate promotional offers; and

the purchaser is not entitled to additional future bonuses merely because they purchased the underlying Digital Product previously.

Where a promised bonus forms part of the purchaser's transaction, we will provide that bonus or an appropriate remedy consistent with applicable law.

31. UPDATES

We may update or improve Digital Products from time to time.

Unless expressly stated otherwise, purchasing a Digital Product does not automatically entitle the purchaser to:

every future version;

new products;

additional modules;

future workshops;

future bonuses; or

unrelated resources subsequently created.

Where we choose to provide an update without additional charge, this does not create an obligation to provide future updates indefinitely.

32. TECHNICAL REQUIREMENTS

The purchaser is responsible for having suitable:

internet access;

devices;

software;

email access;

browser functionality; and

other technology reasonably required to access the Digital Product.

We are not responsible for access problems caused solely by the purchaser's device, internet connection, email provider, incompatible software or other technology outside our reasonable control.

If the purchaser experiences an access issue relating to our systems, they should contact us so we can reasonably investigate the issue.

33. SECURITY AND LOGIN DETAILS

Where a Digital Product requires an account, the purchaser is responsible for keeping their login credentials secure.

The purchaser must not knowingly allow unauthorised people to access their account.

We may temporarily restrict access where we reasonably believe an account is being shared, compromised or used contrary to these Terms while the matter is investigated.

34. AVAILABILITY AND INTERRUPTIONS

We use third-party platforms and technology to deliver some Digital Products.

Temporary interruptions may occur because of:

maintenance;

outages;

technical faults;

third-party platform issues;

internet disruptions;

security incidents; or

events outside our reasonable control.

We will take reasonable steps to address significant access problems within our reasonable control.

A temporary interruption does not automatically entitle a purchaser to a refund where the Digital Product remains available or access is restored within a reasonable period.

Nothing in this clause limits rights available under applicable law.

35. DISCONTINUED PRODUCTS

We may retire, replace or discontinue Digital Products from time to time.

Where ongoing access was expressly included as part of the purchase, we will take reasonable steps to honour that access or provide a reasonably appropriate alternative having regard to:

the nature of the product;

the access originally promised;

the period for which access has already been provided; and

applicable law.

36. PERSONAL INFORMATION

Personal information collected in connection with a Digital Product will be handled in accordance with our Privacy Policy and applicable law.

Our Privacy Policy is available on our website.

37. CHARGEBACKS AND PAYMENT DISPUTES

A purchaser must not knowingly initiate a chargeback on the false basis that an authorised purchase was unauthorised merely to avoid a legitimate payment obligation.

Nothing in these Terms prevents a purchaser from legitimately disputing an unauthorised, incorrectly processed or otherwise lawfully disputable transaction.

Where a chargeback or payment dispute occurs, we may provide the relevant bank, payment processor or card provider with evidence reasonably necessary to respond to the dispute.

This may include:

these Terms;

checkout records;

transaction records;

payment authorisation;

product-access records;

download records;

communications; and

other evidence relating to the purchase and delivery of the Digital Product.

Personal information disclosed for this purpose will be handled in accordance with applicable law.

38. LIMITATION OF LIABILITY

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right, remedy or liability that cannot lawfully be excluded, restricted or modified.

To the maximum extent permitted by law, we are not responsible for indirect or consequential loss arising solely from the purchaser's independent implementation or business decisions.

We do not guarantee the purchaser's:

revenue;

profit;

bookings;

sales;

leads;

marketing performance;

advertising performance;

business performance; or

implementation outcomes.

39. PURCHASER RESPONSIBILITY

The purchaser is responsible for how they use and implement the Digital Product.

To the extent permitted by law, the purchaser is responsible for claims or loss arising directly from:

their unlawful conduct;

representations they make to their customers;

infringement of third-party rights caused by their own materials or conduct;

misuse of information provided in a Digital Product; or

unauthorised reproduction or distribution of our intellectual property.

40. FORCE MAJEURE

We are not responsible for temporary delay or interruption caused by events outside our reasonable control.

This may include:

natural disasters;

serious technology outages;

government restrictions;

widespread internet failures;

serious illness or emergency;

disruption to essential third-party services; or

other events materially preventing normal delivery.

Where appropriate, we will take reasonable steps to minimise disruption and restore or provide alternative access.

41. SUSPENSION OR TERMINATION FOR MISUSE

We may restrict or terminate access to a Digital Product where a purchaser materially breaches these Terms, including through:

unauthorised sharing;

resale;

copyright infringement;

account sharing;

scraping;

unauthorised reproduction; or

other serious misuse of our intellectual property.

Where reasonably appropriate, we may provide the purchaser an opportunity to rectify a minor breach.

For serious or deliberate infringement, we may act immediately where reasonably necessary to protect our intellectual property, customers or systems.

Termination for the purchaser's serious misuse does not itself create a right to a refund, subject always to applicable law.

42. REVIEWS AND LAWFUL COMPLAINTS

Nothing in these Terms prevents a purchaser from:

giving an honest review;

making a lawful complaint;

contacting a regulator;

obtaining legal or professional advice;

participating in legal proceedings; or

exercising a legal right.

Neither party should knowingly publish false statements of fact about the other.

Our intellectual property rights continue to apply regardless of whether a purchaser is dissatisfied with a Digital Product.

43. DISPUTE RESOLUTION

If a dispute arises, both parties agree to first attempt to resolve the matter through good-faith communication.

The purchaser should contact us with sufficient information to identify:

the Digital Product;

the purchase;

the issue; and

the outcome sought.

We will have a reasonable opportunity to investigate and respond.

44. GOVERNING LAW

These Terms are governed by the laws of Western Australia, Australia.

Subject to any applicable law concerning jurisdiction, the parties submit to the jurisdiction of the courts of Western Australia.

45. CHANGES TO THESE TERMS

We may update these Terms from time to time.

The Terms applying to a purchase will generally be the Terms presented or made reasonably available to the purchaser when that purchase was made, subject to any later change that is validly agreed or permitted by law.

We may make reasonable administrative updates that do not materially reduce rights relating to an existing purchase.

The current version of these Terms will be available on our website.

46. SEVERABILITY

If a provision of these Terms is invalid, unlawful or unenforceable, that provision will be read down where possible.

If it cannot be read down, it may be severed.

The remainder of these Terms continues to apply.

47. WAIVER

A failure or delay by either party to exercise a contractual right does not automatically waive that right.

A waiver on one occasion does not automatically constitute a continuing waiver.

48. ENTIRE AGREEMENT AND ORDER OF PRECEDENCE

These Terms, together with:

the applicable product description;

sales page;

checkout selection; and

any expressly agreed written special conditions

form the agreement concerning the relevant Digital Product.

If there is an inconsistency, the following order will generally apply:

any expressly agreed written special conditions;

product-specific terms presented at purchase;

the checkout selection and confirmed purchase details; and

these general Digital Products Terms & Conditions.

49. ACCEPTANCE WITHOUT SIGNATURE

A handwritten or electronic signature is not the only way these Terms may be accepted.

Subject to applicable law and ordinary principles of contract formation, acceptance may be communicated through words or conduct including:

clicking an “I agree”, “accept”, purchase or equivalent confirmation;

completing checkout after being provided with or given reasonable access to these Terms;

providing written acceptance electronically;

paying for the Digital Product after being provided with or given reasonable access to these Terms; or

otherwise clearly communicating acceptance of the purchase on the terms presented.

Evidence including checkout records, payment records, communications and access records may be used to evidence the agreement.

Before purchase, we will make these Terms reasonably available to purchasers.

Nothing in this clause means that a person is deemed to have accepted terms they were not reasonably given an opportunity to review.

50. ELECTRONIC COMMUNICATIONS

The purchaser agrees that transaction confirmations, invoices, access information, contractual notices and other communications concerning a Digital Product may be provided electronically.

This may include communication by:

email;

SMS;

checkout confirmation;

payment platform;

customer portal; or

another electronic method reasonably associated with the purchase.

Wedding Vendor Academy is a business coaching and education program owned and operated by LUNADESIGNS.STUDIO PTY LTD.

Shelby Smith is the founder and principal facilitator of Wedding Vendor Academy and sole director of LUNADESIGNS.STUDIO PTY LTD.

References in this Agreement to WVA or Wedding Vendor Academy refer to the program operated by LUNADESIGNS.STUDIO PTY LTD and do not create a separate contracting entity.

1. PROGRAM SELECTION

At enrolment, the Member selects one of the following fixed Program Terms.

6-Month Wedding Vendor Academy

Pay in Full: $4,697 including GST

OR

Payment Plan: 6 monthly payments of $797 including GST
Total payable under Payment Plan: $4,782 including GST

12-Month Wedding Vendor Academy

Pay in Full: $7,497 including GST

OR

Payment Plan: 12 monthly payments of $647 including GST
Total payable under Payment Plan: $7,764 including GST

The Member’s selected Program Term, payment option and Commencement Date will be recorded through WVA’s checkout, payment platform, enrolment records and/or written communications.

WVA may change its pricing for future Members and future renewals. A pricing change does not alter the Program Fee already agreed for the Member’s current Program Term.

2. IMPORTANT FIXED-TERM COMMITMENT

THIS IS A FIXED-TERM PROGRAM. IT IS NOT A CANCEL-ANYTIME MONTHLY MEMBERSHIP.

By enrolling in WVA, the Member is purchasing the entire 6-month or 12-month Program selected at enrolment.

Where the Member chooses to pay by monthly instalments, those instalments are a payment method for the total fixed Program Fee.

The Member is not purchasing WVA one month at a time.

Monthly instalments do not create a month-to-month subscription or a right to cancel future instalments.

The Member cannot cancel, pause, freeze, defer, transfer or otherwise withdraw from their fixed Program Term.

If the Member voluntarily stops participating before the end of their Program Term, the Member remains responsible for the outstanding instalments of their agreed Program Fee as they fall due.

3. COMMENCEMENT AND PROGRAM TERM

3.1 WVA operates on rolling enrollment. There is no universal commencement date.

3.2 The Member’s Program begins on their individual Commencement Date.

3.3 The Commencement Date will generally be the date access to WVA is activated unless otherwise agreed in writing.

3.4 The Member’s Program continues for either:

(a) six (6) months; or

(b) twelve (12) months,

depending on the Program Term selected at enrolment.

3.5 The Program Term continues regardless of whether the Member actively participates throughout the entire period.

3.6 The Program Term does not automatically pause, restart or extend because the Member:

(a) does not attend calls;

(b) does not use Slack;

(c) does not access the training portal;

(d) does not complete modules;

(e) does not submit content for review;

(f) does not implement coaching;

(g) becomes busy;

(h) takes a holiday;

(i) experiences changes in personal or business circumstances;

(j) temporarily stops operating their business; or

(k) otherwise chooses not to participate.

4. PROGRAM INCLUSIONS

WVA is a group business coaching, education, implementation and support program for wedding industry businesses. These inclusions can change at any point in time.

During the Program Term, the Program currently includes the following core elements.

4.1 90-Minute Onboarding Kickstart

The Member receives one 90-minute Onboarding Kickstart session.

The session is designed to establish where the Member and their business currently are, identify priorities and establish strategic direction for their participation in WVA.

The Member is responsible for attending their scheduled Kickstart and completing any preparation reasonably requested beforehand.

If the Member fails to attend a scheduled session without reasonable notice, WVA may require the session to be rescheduled subject to availability.

4.2 Online Training Portal

The Member receives access to the WVA online training portal and WVA curriculum during their Program Term.

The portal may contain modules, training, recordings, frameworks, templates, scripts, prompts, workbooks, resources and other educational materials.

WVA does not guarantee a particular number of modules.

WVA may reasonably add, update, replace, reorganise or improve training throughout the Program as the Academy evolves.

4.3 Two Live Academy Calls Per Month

WVA ordinarily provides two scheduled live Academy coaching calls per month.

Calls may include coaching, strategy, implementation support, business review, Q&A, sales, marketing, leadership, client journey, offers, financial education or other topics relevant to Members.

Call dates, times and formats may reasonably change.

Where a scheduled call cannot proceed because of illness, emergency, weddings, travel, technology issues, business commitments or other reasonable circumstances, WVA may reschedule the call.

4.4 Guest Experts and Bonus Calls

WVA may bring guest speakers, specialists, coaches or other experts into the Academy from time to time.

These may include bonus calls, workshops, masterclasses or other educational sessions.

Guest sessions are additional Program benefits and are not guaranteed to occur at a particular frequency.

The identity, availability, subject matter and timing of guest experts may change.

4.5 Monthly Strategic Focus

WVA may provide Members with a monthly strategic focus designed to provide direction, priorities and implementation steps for their business.

4.6 Slack Community

Members receive access to the WVA Slack community during their Program Term.

Regular Slack support operates Monday to Friday between approximately 9:00am and 5:00pm Australian Western Standard Time (AWST), excluding public holidays, Academy Break Weeks and other notified closures.

WVA ordinarily conducts two scheduled Slack check-ins per business day to review and respond to Member questions.

Two scheduled check-ins do not mean that each Member will receive two individual responses per day.

Slack is not:

(a) an instant-response service;

(b) a 24-hour service;

(c) an emergency service;

(d) unlimited private coaching; or

(e) a guarantee that every question will be answered immediately.

Response times may vary depending on the complexity and volume of questions and WVA’s reasonable operational circumstances.

4.7 Tuesday Content Review

WVA ordinarily provides Content Review on Tuesdays.

Members may submit eligible marketing or business content for feedback in accordance with WVA’s current submission process.

Content Review may be moved or rescheduled where Shelby or the WVA team has a wedding, event, public holiday, illness, travel, Academy Break Week or other reasonable commitment.

WVA may establish reasonable submission deadlines, limits, formats and processes for Content Review.

5. ACADEMY BREAK WEEKS

5.1 WVA may take up to four Academy Break Weeks during any 12-month period, generally no more than one week in each three-month period.

5.2 Academy Break Weeks exist to allow for rest, planning, development and sustainable operation of WVA.

5.3 During an Academy Break Week, regular live coaching, Slack support, Content Review and other live support may pause.

5.4 WVA will provide reasonable notice of planned Academy Break Weeks where practicable.

5.5 Academy Break Weeks form part of the Program Term.

5.6 Academy Break Weeks do not automatically:

(a) extend the Member’s Program Term;

(b) reduce the Program Fee;

(c) create a credit; or

5.7 Emergency or Unforeseen Absence

5.7 If Shelby is temporarily unable to personally facilitate or participate in the Academy due to serious illness, accident, bereavement, family emergency, personal emergency or another significant unforeseen circumstance, WVA may arrange for an appropriately selected guest expert, coach, facilitator or WVA team member to temporarily provide coaching, support, calls or other relevant Program services during Shelby’s absence.

WVA will take reasonable steps to ensure that Members continue to be supported and that the substantive delivery of the Program continues during any temporary absence.

A temporary absence by Shelby does not, by itself, constitute a cancellation or suspension of the Program or entitle a Member to a refund, credit or extension where WVA continues to provide the substantive Program services or a reasonably comparable alternative.

WVA is not required to disclose private, medical, personal or family information concerning the reason for Shelby’s absence.

Where Shelby’s absence becomes prolonged or WVA is unable to continue providing a material part of the Program or a reasonably comparable alternative, WVA will communicate with Members and provide an appropriate solution having regard to the circumstances.

6. SHELBY AND THE WVA TEAM

6.1 Shelby Smith is the founder and principal facilitator of WVA.

6.2 The Member acknowledges that WVA is operated by LUNADESIGNS.STUDIO PTY LTD and is not a contract for every Program service to be personally delivered by Shelby.

6.3 WVA may engage or bring in employees, contractors, coaches, community managers, assistants, guest experts, specialists or other team members to assist with:

(a) coaching;

(b) Slack support;

(c) Content Review;

(d) training;

(e) administration;

(f) Member support;

(g) implementation;

(h) Program delivery; and

(i) other Academy functions.

6.4 WVA may reasonably allocate Member questions, feedback, coaching or other Program functions to appropriately selected WVA team members.

6.5 The involvement of additional team members or facilitators does not, by itself, constitute a material reduction in the Program provided the substantive Program continues to be delivered.

7. PAYMENT TERMS

7.1 All prices stated in this Agreement are inclusive of GST.

7.2 The Member agrees to pay the Program Fee corresponding with the Program Term and payment option selected at enrolment.

7.3 Where the Member selects Pay in Full, the applicable Program Fee is payable at enrolment unless otherwise agreed.

7.4 Where the Member selects a Payment Plan, the Member agrees to make each scheduled installment for the entire agreed payment schedule.

7.5 The Payment Plan is a method of paying for the total fixed-term Program.

7.6 It is not a cancel-anytime subscription.

8. RECURRING PAYMENT AUTHORITY

8.1 By selecting a Payment Plan and providing payment details, the Member authorises WVA and its nominated payment processor, including Stripe or any replacement provider, to automatically charge the nominated payment method for each scheduled instalment.

8.2 This authority continues until all amounts due under the agreed payment schedule have been processed, unless otherwise required by law.

8.3 The Member must maintain a valid payment method while amounts remain payable.

8.4 Cancelling, replacing, removing, freezing or allowing a nominated card or payment method to expire does not itself cancel this Agreement or extinguish amounts properly payable under it.

8.5 If payment details change, the Member must provide updated payment details when reasonably requested.

9. FIXED COMMITMENT AND MEMBER CANCELLATION

9.1 The Member acknowledges that WVA is sold as a fixed-term Program.

9.2 WVA does not offer voluntary cancellation during the selected Program Term.

9.3 A decision to stop participating does not itself terminate this Agreement.

9.4 The following do not, merely because they occur, create a right to cancel future instalments, obtain a change-of-mind refund or extend the Program:

(a) changing your mind;

(b) becoming busy;

(c) workload;

(d) lack of time;

(e) a change in financial circumstances;

(f) a change in business direction;

(g) temporarily or permanently closing a business;

(h) personal circumstances;

(i) failure to attend coaching calls;

(j) failure to use Slack;

(k) failure to access the portal;

(l) failure to complete training;

(m) failure to implement coaching;

(n) failure to submit content for feedback;

(o) deciding WVA is no longer a priority; or

(p) failure to achieve a desired result.

9.5 Subject to applicable law, where a Member voluntarily ceases participating before the Program Term ends, scheduled installments remain payable in accordance with the agreed Payment Plan.

10. REFUNDS

10.1 WVA does not offer refunds merely because the Member changes their mind.

10.2 WVA does not provide refunds, credits or extensions merely because the Member does not use or fully participate in the Program.

10.3 Failure to attend calls, access resources, participate in Slack, submit content, complete training or implement coaching does not itself create an entitlement to a refund.

10.4 WVA does not offer a contractual cooling-off period unless one is expressly provided to the Member in writing.

11. FAILED AND LATE PAYMENTS

11.1 The Member must ensure each payment is made when due.

11.2 If a scheduled payment fails, WVA may:

(a) notify the Member;

(b) retry the payment;

(c) request updated payment information;

(d) temporarily suspend Program access while payment remains overdue; and/or

(e) take reasonable steps to recover amounts properly due.

11.3 A $25 administration fee may be charged for a failed or overdue instalment where WVA incurs reasonable administration associated with the failed payment and the fee is permitted by law.

11.4 WVA will not charge multiple $25 administration fees merely because the same payment is automatically retried multiple times without additional reasonable administration.

11.5 Suspension for non-payment does not itself:

(a) cancel the Program;

(b) pause the Program Term;

(c) extend the Program End Date; or

(d) waive amounts properly payable.

11.6 WVA may restore access once overdue amounts and any properly payable fees have been rectified.

12. DEBT RECOVERY

12.1 If an amount remains overdue after reasonable notice and opportunity to rectify the default, WVA may refer the outstanding account to a debt collection agency, solicitor or other recovery provider.

12.2 To the extent permitted by law, the Member will be responsible for reasonable external costs necessarily incurred by WVA in recovering amounts properly due.

13. CHARGEBACKS AND PAYMENT DISPUTES

13.1 The Member must not knowingly initiate a chargeback or payment dispute on the false basis that an authorised WVA payment was unauthorised merely to avoid a payment obligation.

13.2 Nothing in this Agreement prevents a Member from legitimately disputing an unauthorised, incorrectly processed or otherwise lawfully disputable transaction.

13.3 Where a chargeback or payment dispute occurs, WVA may provide the relevant bank, payment processor, card provider or dispute-resolution provider with evidence reasonably necessary to respond to the dispute.

13.4 Such evidence may include:

(a) this Agreement;

(b) checkout records;

(c) payment records;

(d) the Member’s selected Program Term;

(e) payment authorisation;

(f) written communications;

(g) enrolment records;

(h) access records;

(i) attendance records; and

(j) records showing delivery or availability of Program services.

13.5 WVA will handle personal information disclosed in connection with a payment dispute in accordance with applicable law.

14. NO PAUSES, DEFERRALS OR TRANSFERS

14.1 Except where expressly agreed by WVA in writing, an enrolment cannot be:

(a) paused;

(b) frozen;

(c) deferred;

(d) transferred to another person;

(e) transferred to another business;

(f) sold;

(g) assigned; or

(h) carried over into a later intake or period.

14.2 A temporary inability to participate does not automatically extend the Program Term.

15. MEMBER PARTICIPATION

15.1 WVA is an implementation-based business coaching program.

15.2 Members are expected and strongly encouraged to actively participate.

15.3 This includes, where relevant:

(a) attending coaching calls;

(b) completing relevant training;

(c) participating in Slack;

(d) asking questions;

(e) submitting content for feedback;

(f) completing recommended actions; and

(g) implementing strategies within their business.

15.4 WVA provides coaching, education, strategy, resources, feedback and support. WVA does not operate the Member’s business for them.

15.5 Access to coaching alone does not produce business results.

15.6 Failure to implement may materially affect the Member’s results.

15.7 Subject to applicable law, a Member who chooses not to participate or implement does not thereby obtain a refund, extension or release from their payment obligations.

16. NO GUARANTEE OF RESULTS

16.1 WVA does not guarantee any particular business, financial, marketing or personal result.

16.2 WVA does not guarantee that the Member will:

(a) increase revenue;

(b) increase profit;

(c) increase prices;

(d) book a particular number of weddings;

(e) become booked out;

(f) receive a particular number of enquiries;

(g) achieve a particular conversion rate;

(h) grow their social media by a particular amount;

(i) recover the cost of the Program;

(j) achieve a particular return on investment; or

(k) achieve results obtained by another Member.

16.3 Results depend on factors including the Member’s implementation, consistency, skills, experience, market, audience, offer, pricing, sales ability, capacity, decisions and circumstances.

16.4 Case studies, testimonials and Member results are examples of individual experiences and are not promises of future results.

17. BUSINESS EDUCATION — NOT PROFESSIONAL ADVICE

17.1 WVA provides general business education, coaching, strategy and implementation support.

17.2 Unless expressly stated otherwise, WVA does not provide personalised:

(a) legal advice;

(b) accounting advice;

(c) taxation advice;

(d) financial product advice;

(e) investment advice;

(f) employment-law advice;

(g) insurance advice; or

(h) other regulated professional advice.

17.3 Members should obtain independent professional advice where appropriate.

18. MEMBER BUSINESS DECISIONS

18.1 The Member retains responsibility for the operation of their business and decisions they make.

18.2 This includes responsibility for:

(a) pricing;

(b) packages;

(c) offers;

(d) advertising;

(e) marketing claims;

(f) contracts;

(g) sales processes;

(h) hiring;

(i) contractors;

(j) tax and accounting;

(k) client relationships;

(l) legal and regulatory compliance;

(m) insurance;

(n) expenses; and

(o) implementation of strategies discussed within WVA.

18.3 WVA provides education and guidance but does not take control of the Member’s business.

19. GROUP COACHING BOUNDARIES

19.1 WVA is primarily a group coaching program.

19.2 Membership does not provide unlimited one-to-one access to Shelby, the WVA team or guest experts unless expressly included.

19.3 Slack does not create an entitlement to instant or unlimited private coaching.

19.4 WVA may reasonably direct a Member to:

(a) existing training;

(b) a group coaching call;

(c) an Academy resource;

(d) another WVA team member;

(e) a guest expert; or

(f) independent professional advice.

20. PROGRAM ACCESS AND EXPIRY

20.1 Program access begins on the Commencement Date.

20.2 Unless renewed or otherwise expressly agreed, Member access ends when the Program Term expires.

20.3 This may include loss of access to:

(a) Slack;

(b) the training portal;

(c) live coaching;

(d) call recordings;

(e) Content Review;

(f) templates;

(g) resources;

(h) future training;

(i) Member-only materials; and

(j) other Academy services.

20.4 The Member is responsible for making use of the Program during their Program Term.

20.5 Failure to use available Program services does not create an entitlement to continued access after expiry.

21. RENEWAL AND EXTENSION

21.1 At the conclusion of the Program Term, WVA may offer the Member an opportunity to renew or extend their participation.

21.2 Renewal is not automatic unless expressly agreed.

21.3 Any renewal may be subject to WVA’s then-current:

(a) pricing;

(b) inclusions;

(c) Program structure; and

(d) terms and conditions.

22. COMMUNITY CONDUCT

22.1 WVA is intended to be a professional, supportive and commercially confidential community.

22.2 Members must treat other Members, Shelby, WVA team members and guest experts respectfully.

22.3 Members must not:

(a) harass, bully, threaten or abuse another person;

(b) engage in unlawful discriminatory conduct;

(c) deliberately disrupt Academy spaces;

(d) spam Members;

(e) engage in unsolicited mass solicitation;

(f) misuse another Member’s confidential information;

(g) share WVA materials without permission;

(h) share login credentials;

(i) infringe WVA intellectual property;

(j) make unauthorised recordings;

(k) impersonate WVA or another Member; or

(l) engage in serious or repeated conduct that materially harms the Academy community.

23. SUSPENSION AND REMOVAL FOR BREACH

23.1 WVA may take reasonable action where a Member materially breaches this Agreement or Academy community standards.

23.2 Depending on the nature and seriousness of the breach, WVA may:

(a) issue a warning;

(b) request that conduct cease;

(c) remove inappropriate content;

(d) restrict particular community privileges;

(e) temporarily suspend access; or

(f) terminate participation for serious or repeated material breach.

23.3 WVA may act immediately where reasonably necessary to protect:

(a) another Member;

(b) confidential information;

(c) WVA intellectual property;

(d) the safety of participants; or

(e) the integrity of the Program.

23.4 Where reasonably appropriate, WVA will provide an opportunity to rectify a minor breach before terminating participation.

23.5 Where participation is terminated because of the Member’s serious or repeated material breach, amounts already paid are not refundable merely because access has been terminated, subject to applicable law.

23.6 Any outstanding payment obligations following termination will be dealt with consistently with this Agreement and applicable law.

24. CONFIDENTIALITY

24.1 WVA is a confidential group coaching environment.

24.2 Members may become aware of commercially or personally sensitive information concerning other Members, including:

(a) revenue;

(b) profit;

(c) pricing;

(d) clients;

(e) enquiries;

(f) marketing;

(g) sales;

(h) business strategy;

(i) personal experiences;

(j) business challenges; and

(k) other confidential information.

24.3 Members must keep other Members’ confidential information confidential.

24.4 Members must not screenshot, record, reproduce, publish or share another Member’s confidential information outside WVA without that Member’s permission.

24.5 Confidentiality obligations continue after the Program Term ends.

25. WVA INTELLECTUAL PROPERTY

25.1 All intellectual property in WVA materials remains owned by LUNADESIGNS.STUDIO PTY LTD or the relevant third-party licensor.

25.2 WVA intellectual property includes, without limitation:

(a) modules;

(b) videos;

(c) call recordings;

(d) frameworks;

(e) methodologies;

(f) processes;

(g) workbooks;

(h) templates;

(i) calculators;

(j) scripts;

(k) sales scripts;

(l) email templates;

(m) prompts;

(n) checklists;

(o) worksheets;

(p) presentations;

(q) slides;

(r) written coaching;

(s) Slack training and educational responses;

(t) strategic frameworks;

(u) resources;

(v) graphics;

(w) training concepts; and

(x) other proprietary Academy material.

25.3 Payment of the Program Fee does not transfer ownership of WVA intellectual property to the Member.

26. LICENCE TO IMPLEMENT WVA MATERIALS

26.1 WVA grants the Member a limited, non-exclusive and non-transferable licence to implement WVA teachings and materials within the Member’s own wedding business.

26.2 The Member may, for example:

(a) use a WVA sales framework when communicating with their own clients;

(b) implement WVA pricing strategies;

(c) use a WVA client journey within their own business;

(d) adapt permitted scripts for their own client communications; and

(e) implement concepts learned through WVA.

26.3 The Member may continue to implement what they have legitimately learned within their own business after their Program Term ends.

26.4 This does not give the Member continuing access to the WVA portal, recordings, Slack or downloadable resources after their Program Term expires.

26.5 The Member does not obtain a licence to teach, sell, distribute or commercially exploit WVA intellectual property.

27. PROHIBITED USE OF WVA INTELLECTUAL PROPERTY

Without prior written permission from WVA, Members must not:

(a) reproduce WVA materials for distribution;

(b) sell WVA materials;

(c) sublicense them;

(d) share them with another business;

(e) publish them;

(f) upload them publicly;

(g) teach WVA proprietary frameworks or materials to other wedding vendors;

(h) incorporate WVA materials into another course, membership, mastermind, coaching program or educational product;

(i) copy or substantially reproduce WVA training;

(j) distribute call recordings;

(k) use WVA proprietary materials to create a competing education or coaching product;

(l) represent WVA intellectual property as their own original methodology; or

(m) enable another person to access WVA materials without authorisation.

The Member may implement WVA within their own business.

The Member may not redistribute, teach, sell or commercialise WVA itself.

28. NO UNAUTHORISED RECORDING, COPYING OR SCRAPING

28.1 Unless expressly permitted by WVA, Members must not:

(a) screen-record WVA modules;

(b) independently record Academy calls;

(c) bulk-download Program content;

(d) copy substantial portions of the training portal;

(e) scrape WVA websites, portals, Slack channels or resources;

(f) use automated software to extract WVA content; or

(g) create an unauthorised archive or database of WVA materials.

28.2 Materials expressly made downloadable by WVA may be downloaded for the Member’s permitted internal business use, subject to the intellectual property provisions of this Agreement.

29. ARTIFICIAL INTELLIGENCE AND WVA MATERIALS

29.1 Members may use AI tools in their own businesses and may use WVA resources specifically supplied or authorised for AI use.

29.2 Unless WVA expressly permits otherwise, Members must not upload substantial proprietary WVA materials into an AI system for the purpose of:

(a) reproducing WVA training;

(b) extracting or reconstructing WVA proprietary methodologies;

(c) generating substantially equivalent training materials for distribution;

(d) training a system or dataset on WVA proprietary content;

(e) building a competing educational product; or

(f) distributing WVA intellectual property to third parties.

29.3 Nothing in this clause prevents reasonable personal implementation of WVA concepts within the Member’s own business.

30. ONE MEMBERSHIP — ONE MEMBER

30.1 Unless WVA expressly approves otherwise in writing, one WVA enrolment provides access to one authorised Member.

30.2 Membership access must not be shared with:

(a) business partners;

(b) employees;

(c) contractors;

(d) virtual assistants;

(e) friends;

(f) family members; or

(g) other businesses.

30.3 If a Member wishes a team member or business partner to participate, they must obtain WVA’s prior approval.

30.4 WVA may offer additional team access subject to separate terms or fees.

31. LOGIN AND ACCOUNT SECURITY

31.1 Members must keep login credentials secure.

31.2 Members must not knowingly provide another person with unauthorised access to WVA systems or resources.

31.3 WVA may reasonably suspend access where it believes an account is being shared or accessed without authorisation while the matter is investigated.

32. GUEST EXPERTS

32.1 Guest experts may provide education, opinions and information within their area of experience.

32.2 Participation in a guest session does not automatically establish a separate professional-client relationship between the Member and the guest expert.

32.3 Members remain responsible for obtaining independent professional advice where appropriate.

33. CALL RECORDINGS

33.1 WVA calls may be recorded.

33.2 Recordings may be made available to current WVA Members.

33.3 By participating in a recorded Academy call, the Member acknowledges that their name, image, voice, questions, comments and business discussions may appear in the recording.

33.4 Members should not disclose information during a group call that they are unwilling to share with other authorised Members who may access the recording.

33.5 If a Member later requests that WVA edit, redact or modify an existing recording, WVA may determine whether the request can reasonably be accommodated.

33.6 Where WVA agrees to perform additional editing or administration at the Member’s request, WVA may quote a reasonable fee before performing that work.

33.7 Nothing in this clause limits WVA’s obligations under applicable privacy or other law.

34. TESTIMONIALS, RESULTS AND CASE STUDIES

34.1 WVA may refer to Academy achievements and Member outcomes in an anonymous or appropriately de-identified manner.

34.2 WVA will obtain permission before using a Member’s identifiable private message, identifiable image, name or private identifiable business information as a testimonial or case study unless WVA otherwise has a lawful basis to use material the Member has already intentionally made public.

34.3 Permission may be given electronically, including through email, Slack, direct message or other written communication.

34.4 WVA will not knowingly misrepresent a Member’s results.

35. PROGRAM EVOLUTION

35.1 WVA is an evolving business coaching program.

35.2 WVA may reasonably update:

(a) curriculum;

(b) modules;

(c) resources;

(d) platforms;

(e) call formats;

(f) schedules;

(g) guest experts;

(h) facilitators;

(i) community processes;

(j) Content Review processes; and

(k) delivery methods.

35.3 WVA will not rely on this clause to remove the substantive core of the Program without providing a reasonably comparable alternative.

35.4 Reasonable operational changes or improvements do not themselves create a right to a change-of-mind refund.

36. TECHNOLOGY AND THIRD-PARTY PLATFORMS

36.1 WVA may use third-party platforms including Slack, Zoom, Stripe, learning platforms, file-hosting services and other technology.

36.2 WVA does not control third-party platforms and cannot guarantee uninterrupted operation.

36.3 WVA will take reasonable steps to address significant technology problems within its reasonable control.

36.4 Temporary disruption caused by third-party outages or circumstances outside WVA’s reasonable control does not itself constitute a failure to provide the Program.

37. MEMBER-SUPPLIED INFORMATION

37.1 Coaching and recommendations may depend on information supplied by the Member.

37.2 The Member is responsible for providing information that is reasonably accurate and complete.

37.3 WVA is not responsible for outcomes materially caused by inaccurate, incomplete or misleading information supplied by the Member.

38. WVA'S INABILITY TO DELIVER

38.1 If WVA is temporarily unable to provide a scheduled component of the Program because of illness, emergency, technology failure or another circumstance outside its reasonable control, WVA may reasonably:

(a) reschedule the service;

(b) provide a replacement session;

(c) use another appropriately selected facilitator;

(d) provide an alternative delivery method; or

(e) provide another reasonably comparable solution.

38.2 If WVA becomes unable to provide a material part of the Program for an extended period, WVA will consider an appropriate remedy having regard to the circumstances and applicable law.

39. PUBLIC HOLIDAYS AND CLOSURES

39.1 Regular support may not operate on Western Australian public holidays or other closures notified to Members.

39.2 Public holidays and ordinary notified closures do not automatically extend the Program Term.

39.3 This clause does not reduce the substantive Program inclusions promised under this Agreement.

40. REVIEWS, COMPLAINTS AND FALSE STATEMENTS

40.1 Nothing in this Agreement prevents the Member from:

(a) giving an honest review;

(b) making a lawful complaint;

(c) communicating with a regulator;

(d) obtaining legal or professional advice;

(e) participating in legal proceedings; or

(f) exercising a legal right.

40.2 Neither party should knowingly publish false statements of fact about the other.

40.3 The confidentiality and intellectual property provisions continue to apply regardless of whether a Member is dissatisfied with the Program.

41. PRIVACY

41.1 WVA will handle personal information in accordance with applicable privacy law and any Privacy Policy made available by Luna Designs Studio.

41.2 The Member acknowledges that participation in a group coaching program necessarily involves some information being visible to other Members.

41.3 This may include the Member’s name, business, profile information, questions and information the Member voluntarily shares.

41.4 Members remain responsible for deciding what confidential business information they voluntarily disclose in group environments.

42. LIMITATION OF LIABILITY

42.2 To the maximum extent permitted by law, WVA is not responsible for indirect or consequential loss arising solely from independent business decisions made by the Member.

42.3 WVA is not responsible for guaranteeing the Member’s:

(a) revenue;

(b) profit;

(c) bookings;

(d) enquiries;

(e) marketing performance;

(f) advertising performance;

(g) pricing;

(h) hiring decisions;

(i) contractual relationships;

(j) tax position; or

(k) implementation decisions.

42.4 Nothing in this clause excludes liability to the extent exclusion is prohibited by law.

43. MEMBER RESPONSIBILITY AND THIRD-PARTY CLAIMS

43.1 The Member is responsible for how they implement WVA education in their business.

43.2 To the extent permitted by law, the Member is responsible for claims or loss arising directly from:

(a) their unlawful conduct;

(b) material supplied by them;

(c) representations or promises they make to their clients;

(d) their infringement of third-party intellectual property; or

(e) their unauthorised reproduction or distribution of WVA intellectual property.

43.3 Nothing in this clause makes the Member responsible for loss caused by WVA’s own unlawful conduct or to an extent prohibited by law.

44. FORCE MAJEURE

44.1 WVA is not responsible for temporary delay or interruption caused by events outside its reasonable control.

44.2 This may include natural disasters, serious illness, government restrictions, widespread technology failures or other events that materially prevent normal delivery.

44.3 WVA will take reasonable steps to minimise disruption and provide an appropriate alternative where reasonably practicable.

45. DISPUTE RESOLUTION

45.1 If a dispute arises, both parties agree to first attempt to resolve the dispute through good-faith communication.

45.2 The Member should notify WVA in writing of the nature of the dispute and provide a reasonable opportunity for WVA to respond.

45.3 If the dispute cannot be resolved directly, either party may propose mediation before commencing court proceedings.

45.4 This clause does not prevent either party from:

(a) seeking urgent legal relief;

(b) pursuing legitimate debt recovery;

(c) contacting a regulator or ombudsman; or

46. GOVERNING LAW

46.1 This Agreement is governed by the laws of Western Australia.

46.2 Subject to any applicable law concerning jurisdiction, the parties submit to the jurisdiction of the courts of Western Australia.

47. VARIATIONS

47.1 Material changes to an individual Member’s agreed Program Fee or Program Term must be agreed between the parties.

47.2 WVA may make reasonable operational and Program changes in accordance with this Agreement.

47.3 A variation may be recorded electronically or in writing.

48. SEVERABILITY

48.1 If any provision of this Agreement is invalid, unlawful or unenforceable, that provision will be read down to the extent necessary where possible.

48.2 If it cannot be read down, it may be severed.

48.3 The remainder of the Agreement continues in effect.

49. WAIVER

49.1 A failure or delay by either party to exercise a contractual right does not automatically waive that right.

49.2 A waiver on one occasion does not automatically constitute a continuing waiver.

50. ASSIGNMENT

50.1 The Member may not assign, sell or transfer their Program enrollment or this Agreement without WVA’s prior written approval.

50.2 WVA may use employees, contractors and other appropriately selected team members to perform its obligations without this constituting an assignment of the Member’s Agreement.

51. ENTIRE AGREEMENT

51.1 This Agreement, together with the Member’s checkout selection and any expressly agreed written special conditions, constitutes the agreement concerning the Member’s WVA enrolment.

51.2 It supersedes prior discussions concerning the contractual terms of that enrolment, except to the extent that a representation, guarantee or right cannot lawfully be excluded.

52. ACCEPTANCE WITHOUT SIGNATURE

52.1 A handwritten or electronic signature is not the only method by which this Agreement may be accepted or become binding.

52.2 Subject to applicable law and ordinary principles of contract formation, the Member may communicate acceptance through words or conduct, including:

(a) signing this Agreement;

(b) electronically signing this Agreement;

(c) clicking an “I agree”, “accept”, enrolment or equivalent confirmation;

(d) completing WVA’s checkout after being provided with access to these Terms and Conditions;

(e) providing written acceptance by email, Slack, direct message, text message or another written electronic communication;

(f) verbally communicating clear acceptance of the Program and the terms presented;

(g) paying the Program Fee or first instalment after being provided with, or given reasonable access to, these Terms and Conditions; or

(h) otherwise clearly communicating acceptance of the Program on the terms presented.

52.3 Where acceptance occurs without a signed document, WVA and the Member may rely on relevant evidence of their agreement, including:

(a) communications;

(b) call records or contemporaneous records of verbal acceptance;

(c) checkout records;

(d) payment records;

(e) invoices;

(f) enrolment records; and

(g) other relevant conduct.

52.4 WVA will make these Terms and Conditions available through or linked from the checkout process so that prospective Members have an opportunity to review them before completing enrolment.

52.5 By proceeding with enrolment after being given reasonable access to these Terms and Conditions, the Member acknowledges that they had an opportunity to read and consider them before committing to the Program.

52.6 Nothing in this clause means that a person is deemed to have accepted terms they were not reasonably given an opportunity to review, or otherwise overrides applicable law concerning whether a contract has been formed.

53. ELECTRONIC COMMUNICATIONS

53.1 The Member agrees that contractual notices, invoices, payment communications and other Program communications may be provided electronically.

53.2 Electronic communications may include email, checkout confirmations, payment-platform communications, Slack or other communication channels used between WVA and the Member.

54. FIXED-TERM MEMBER ACKNOWLEDGEMENT

PLEASE READ THIS SECTION CAREFULLY BEFORE ENROLLING.

By accepting this Agreement and enrolling in WVA, the Member acknowledges:

I understand that I am purchasing a fixed 6-month or 12-month Wedding Vendor Academy Program.

I understand the total price of the payment option I selected.

I understand that if I select monthly instalments, those instalments are a payment method for the total fixed-term Program Fee and are not a cancel-anytime monthly subscription.

I understand that simply deciding to stop participating does not itself cancel my remaining scheduled payment obligations.

I understand that WVA does not provide change-of-mind refunds merely because I become busy, my circumstances change, I fail to participate, or I decide that I no longer wish to continue.

I understand that failing to attend calls, use Slack, access the portal, complete training, submit content or implement coaching does not itself create a right to a refund, pause or extension.

I understand that WVA does not guarantee a particular financial or business result and that my results depend substantially on my own participation and implementation.

I understand that WVA may use appropriately selected team members, coaches, contractors and guest experts to assist with delivery of the Program and that not every element is required to be personally delivered by Shelby.

I understand that I am responsible for protecting the confidentiality of other Members and the intellectual property of Wedding Vendor Academy.

55. CHECKOUT ACCEPTANCE

The WVA checkout should display an acknowledgement substantially in the following form:

“By completing my enrolment, I confirm that I have had access to and agree to the Wedding Vendor Academy Terms & Conditions. I understand that I am purchasing a fixed 6-month or 12-month Program and that, if I select instalments, those instalments are a payment arrangement for the total fixed-term Program Fee and are not a cancel-anytime monthly subscription.”

The words Wedding Vendor Academy Terms & Conditions should link directly to the current version of this Agreement.
